PrivateShares.AI is a data and matching platform. We maintain a registry of verified accredited investors, family offices, and capital-raising private companies, and we surface mandate-matched introductions between them.

What PrivateShares.AI is not

• Not a broker-dealer. We do not effect transactions in securities. We do not negotiate terms, hold customer funds, or take transaction-based compensation for facilitating any securities transaction.
• Not an investment adviser. We do not provide individualized investment advice. Anything you read on this platform is for informational purposes only and is not a recommendation to buy, sell, or hold any security.
• Not a funding portal. We do not operate under Regulation Crowdfunding (Reg CF) and do not target non-accredited retail investors.
• Not a registered exchange. We do not maintain a marketplace for executing trades in securities.

Accreditation verification

Some platform features are restricted to verified accredited investors. We follow the “reasonable steps” standard for accreditation verification under Rule 506(c) of Regulation D. Verification may be performed by a qualified third-party vendor or via attested CPA, attorney, or broker-dealer letters. Self-attestation alone does not satisfy 506(c) reasonable steps and grants limited functionality.

General solicitation

Some offerings surfaced on this platform may rely on Rule 506(c) of Regulation D, which permits general solicitation provided all purchasers are verified accredited investors. Other offerings may rely on Rule 506(b), which prohibits general solicitation and limits access accordingly. Each offering surface clearly indicates its applicable exemption.

Information sources and accuracy

Public company data is sourced from SEC filings (EDGAR Form D and equivalents), state Secretary of State registrations, and other publicly available records. Private company and investor profile data is provided by the subject entity or aggregated from public disclosures with appropriate notice. We make commercially reasonable efforts to maintain accuracy but do not warrant the completeness or timeliness of any data.

Right to correction and deletion

If you believe information about you or your entity on this platform is inaccurate or should be removed, contact privacy@privateshares.ai. We respond within 7 business days to verified requests.
